Terms of Use

These terms govern use of noctuatech.org and the Noctua Tech platform, including the legal AI assistant (the “Service”). The Service is provided by “NOCTUA TEK” LLC (“Noctua Tech”, “we”).

1. Agreement and legal capacity

By accessing the website, creating an account, or using the assistant, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service.

To use the Service you must have legal capacity to enter into a contract. If you use Noctua Tech on behalf of a company, you confirm that you have authority to bind that company, and “you” in these terms also refers to that company together with you.

2. The Service

Noctua Tech provides a source-backed AI assistant based on Armenia’s official legal texts, with citations intended to link to ARLIS. Features described as “in development” or “coming soon”, including legal-change monitoring and company-document workflows, are not promised as available today and may change before launch.

Access to the assistant currently requires a registered, email-verified account. We may offer the assistant for free, limit use, or later introduce paid plans — see section 8. We will notify you of material changes on the website or by email.

3. Not legal advice

Noctua Tech is a software tool. It does not provide legal, tax, accounting, or other professional services. Nothing on the website or in an assistant answer creates an attorney–client relationship.

Answers may be incomplete or incorrect. Citations must be checked against the official ARLIS source before you act on them. You are responsible for the decisions you make and, where needed, for obtaining advice from a qualified professional.

4. Accounts

You must provide accurate registration information and keep your sign-in credentials confidential. You are responsible for activity under your account.

You may delete your account at any time by writing to info@noctuatech.org; see our Privacy Policy for what happens to your data afterwards.

We may suspend or close accounts that appear abusive, insecure, or in breach of these terms, or where required by law. Where possible, for a first-time, non-urgent issue, you will receive notice and a chance to respond before the account is suspended.

5. Acceptable use

You agree not to use the Service:

  • for unlawful purposes or to provide legal services to third parties as if Noctua Tech were a law firm,
  • to probe, overload, reverse-engineer, or disrupt the website, the assistant, or our providers,
  • to upload malware or gain unauthorised access to other users’ accounts or data,
  • to scrape, bulk-extract, or republish the legal corpus or assistant output in a way that competes with or overloads the Service,
  • to send content you have no right to share, or that is defamatory, hate-inciting, or that infringes another person’s rights or intellectual property.

If you believe content available through the Service infringes your rights, contact info@noctuatech.org with enough detail for us to investigate.

6. Your content and AI processing

You retain the rights in the questions and files you submit. You grant Noctua Tech a limited licence to process that content solely to operate, protect, and improve the Service, including generating answers and keeping chat history.

Your questions and the assistant’s answers are sent to a third-party AI provider (Google’s Gemini models) to generate a response — see our Privacy Policy. Do not send confidential client files, passwords, payment-card details, third-party privileged information, or special-category personal data unless you have a legal basis to do so and accept the risk of using a cloud AI tool.

7. Our content and official sources

The website, product design, trademarks, and software belong to Noctua Tech or its licensors. You may not copy the product or brand except as needed to use the Service.

Official legal texts remain the property of the Republic of Armenia as published on ARLIS and other official sources. We do not claim ownership of the law. ARLIS citations are provided so you can verify the source; we are not ARLIS and are not affiliated with the Ministry of Justice unless we state otherwise.

8. Fees and future paid plans

The Service or parts of it may currently be offered free of charge. We reserve the right later to introduce paid plans, usage limits, or new pricing. If we do, we will publish separate terms governing payment, renewal, and cancellation for that plan, and we will give existing users reasonable notice before any change that affects them.

9. Availability and changes

The Service is provided as a working product, in part as an early-stage prototype. We do not guarantee continuous or error-free operation. We may change, suspend, or discontinue features, including free access, with reasonable notice where that is practicable. We are not liable for unavailability caused by circumstances reasonably outside our control (for example, third-party provider outages, internet-infrastructure failures, or force majeure events).

10. Disclaimer of warranties

To the maximum extent permitted by the laws of the Republic of Armenia, the Service is provided “as is” and “as available”, without warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of liability

To the maximum extent permitted by Armenian law, Noctua Tech and its founders, employees, and advisers are not liable for indirect, incidental, special, or consequential damages, or for loss of profit, data, or business, arising from use of the website or the assistant.

Where liability cannot be excluded, our total liability for claims arising from these terms is limited to the greater of: (a) the amount you paid for the Service in the three months before the claim, or (b) AMD 10,000 if you used the Service free of charge.

Nothing in these terms excludes liability that applicable law does not allow to be limited, including for wilful misconduct, gross negligence, or death or personal injury caused by our negligence, if such exclusion is prohibited.

12. Indemnity

You will indemnify Noctua Tech against claims, losses, and reasonable legal costs arising from your misuse of the Service, your content, or your breach of these terms, except where caused by our wilful misconduct.

13. Governing law and dispute resolution

These terms are governed by the laws of the Republic of Armenia. Before filing a claim, we recommend contacting us at info@noctuatech.org so we can try to resolve the matter informally. The courts of the Republic of Armenia have exclusive jurisdiction over any dispute not resolved by us informally, without limiting mandatory consumer-protection rules that apply to you.

14. General provisions

  • Severability — if any provision of these terms is found unenforceable, the remaining provisions keep full force, and the unenforceable provision will be interpreted as close as possible to its purpose.
  • Entire agreement — these terms and our Privacy Policy are the entire agreement between you and Noctua Tech regarding the Service and replace any prior agreement on the same subject.
  • No waiver — our failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment — you may not assign these terms without our consent. We may assign these terms in connection with a merger, acquisition, or sale of a substantial part of our assets.
  • Notices — we may send you notices to your account email or by publishing them on the website. You may send us notices at info@noctuatech.org.
  • Language — these terms are available in Armenian and English. In case of conflict between versions, the Armenian version prevails.

15. Changes to these terms

We may update these terms by publishing a new version on this page. The “Last updated” date will change. If you continue to use the Service after an update, you accept the new terms. Otherwise, stop using the Service and request account deletion.
